1. Our Intellectual Property
1.1. Studio Founded are protected by intellectual property laws. You agree not to share, re-sell, modify, or create derivative works from our content.

2. Privacy Policy
2.1. By using our Services, you confirm that you have read and understood our Privacy Policy. Our Privacy Policy is not a contractual document and is subject to change.

3. Paid Services
3.1. We use Third Party payment processors, including Stripe, and PayPal. The Third Party processor will bill you through a payment account linked to your account.
3.2. The processing of payments is subjects to the Terms and Conditions and Privacy Policies of the Payment Processor, in addition to this Agreement. Please make sure you have read and understood the Terms and Conditions and Privacy Policies of our Third Party payment processors.
3.3. Fees pertaining to Third Party Services may be subject to different refund, replacement and cancellation policies to those described us.
3.4 No order has been accepted by us until payment has been processed.
4. Updates
4.1. We may update this Agreement. We will always display the most recent version on our site.
4.2. If an update is likely to effect you or your rights, we will notify you by displaying a notice on our homepage.
4.3. By continuing to use or access the Services after any modifications come into effect, you agree to the updated Agreement.
4.4. If you disagree with our changes, you should stop using our Services and cancel any Paid Services.
5. Events Beyond Reasonable Control
5.1. We are not in breach of this Agreement or liable to you if there is a failure of performance resulting from a circumstance or event that is beyond our reasonable control. This includes natural disaster, fire, act of government or state regulation, war, terrorism, inability to communicate with a Third Party, failure of a computer or technological difficulty, failure of delay in transmission of digital files or communications, failure of any interest service provider, strike or industrial action that is beyond our reasonable control.
6. Refusal of Service
6.1. We reserve the right to refuse service to any order, person or entity, without an obligation to provide a reason for doing so. We may at any time change or discontinue any aspect or feature of our website or Services, subject to us fulfilling our previous responsibilities to you based on acceptance of your payment.
7. Translation
7.1. This Agreement is written in English. If it is translated into other languages, the English version will be used except where prohibited by law.

Terms of Sale
This End User License Agreement is a binding legal agreement between you and Studio Founded. Purchase, installation, or use or any Studio Founded product signifies that you have read, understood, and agree to be bound by the terms outlined below.
Our Terms of Use explains general Terms and Conditions of usage, and our Privacy Policy explains what personal information we collection and how it is used and shared.
The Terms “we,” “us,” and “our” refers to Studio Founded. The terms “user,” “you,” and “your” refer to customers of Studio Founded’s products.
Studio Founded provides digital design products (Website Templates, Plugins, Stock Photos and Mockups, Design Templates and Workbooks).
Disclaimer of Warranties
WE DO NOT REPRESENT OR WARRANT THAT SUCH DELIVERABLES WILL CREATE ANY ADDITIONAL PROFITS, SALES, EXPOSURE, BRAND RECOGNITION, OR THE LIKE. DESIGNER HAS NO RESPONSIBILITY TO CLIENT IF THE DELIVERABLES DO NOT LEAD TO CLIENT’S DESIRED RESULT(S).
Liability
You agree to indemnify and hold Studio Founded harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the templates or this website. Studio Founded reserves the right to change the Terms of Service without notice. Studio Founded shall not be liable to you or any third party should we exercise our right to modify, suspend, limit or discontinue any feature of our products or services. Use of the themes and this website shall be governed by and construed in accordance with the internal laws of England and Wales. You agree to submit to the non-exclusive jurisdiction of England and Wales, in any action or proceeding arising out of or relating to the use of this website or themes. If any provision of the Terms of Service is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect.

Website Templates
License
Purchasing a template grants you a non-exclusive, non-transferable, single-seat license (1 template purchase = 1 website). If you would to use the template to build additional websites, you must purchase additional licenses.
You may purchase a template to use in a single client project. You must purchase an individual license for each client.
You may make changes to the template to suit your needs.
You may not, under any circumstances, duplicate a website template.
You may not share, sell, or resell the template or any of its components.
You may not share or sell any CSS or JS code supplied in the template, or use it on any other website.
Our templates are building blocks for customers to customize in the appropriate way. It is the customer’s responsibility to ensure their website adheres to any copyright, data protection, or accessibility laws that applies to them. Studio Founded will not be held liable if the customer’s website does not meet applicable rules, laws, or regulations.
credit
We welcome the use of our templates for your creative projects and work with clients. However, we ask that you respect our intellectual property by not claiming the design as your own. If you are using a template for a client project, you must retain our credit and a link to Studio Founded. Proper credit can be given by adding a link to Studio Founded in the website footer (with a statement such as Website/Template by Studio Founded). You may add your own credit, or credit multiple collaborations, alongside our credit. If you are not creating a site for a client (for example, if you are using it for your own business or personal work) you may remove our credit.
Compatibility
You understand that our website templates are only compatible with Squarespace 7.1.
Our templates can only be installed as new websites, and cannot be applied to an existing website.
You are eligible for an extra 20% discount on your Squarespace Plan when you purchase one of our templates. The discount is only eligible if you purchase an Annual Plan. Your first purchase must be an annual plan. If you purchase a monthly plan and wish to switch to an annual plan later, you will not be eligible for a discount.
Your must purchase the Business Plan for all areas of the template and custom code to function as intended.
Template Delivery
After purchase, your template will be installed, and an access link will be sent to the email address provided at the checkout. You can use this link to access your template right away. Template installation may take up to three working days.
Please note that your purchase includes the design template only, and does not include template customization (unless purchasing with a set-up package), a domain, a Squarespace subscription, third party integrations, copy, imagery, SEO, or any other fees.
Refund Policy
Our website templates are non-tangible digital goods. You may cancel for a full refund before you receive access to the template. Once you have accessed the template no refund can be given, unless an agreement was made prior to purchase, or you are absolutely not able to use the template purchased for a valid reason. If a refund is agreed, we will process a refund (not including third-party transaction fees from the original payment). We reserve the right to analyse each refund on a case-by-case basis.
If a purchase is made through use of a payment plan, all parts of the payment plan must be paid. If a payment is unpaid, we reserve the right to revoke access to your website template.
Warranty
Our website template are provided “as is” and without warranty, expressed or implied. They may not function exactly as you wish, nor work with all 3rd party plugins. You acknowledge that this is at your risk, and you assume responsibility for any and all costs associated with necessary servicing or repairs of equipment you use in combination with our website templates.
In no event will we be held liable for any damages including, but not limited to, direct, indirect, incidental or consequential damages or other losses arising out of the use of or inability to use our products.
Some states or jurisdictions do not allow the exclusion of certain warranties. Nothing in this section should be construed as excluding or limiting any warranty beyond what is permissible under applicable law.
Technical Support
We offer a 30 business day technical support period that starts from the day the template access link is sent to your email address. Within this period, you are entitled to a reasonable amount of support — the definition of which will be determined by us at our sole discretion.
We aim to respond to questions within 72 hours during business days, but this may be longer for more technical problems or during busy periods.
We do not offer support with: design strategy, compatibility with third-party plugins, issues from modifications of custom code or functionality, or service or hosting configurations.
After 30 working days, we will transfer site ownership to you, and free support will be no longer be available, except under certain circumstances and if the support needed is minimal. We reserve the right to judge this on a case by case basis.
When your technical support period has ended, we can still offer support but a charge will be incurred. We will estimate the cost of the tasks beforehand.
Browser Compatibility
It is your responsibility to use the demonstration templates provided to test browser compatibility. We cannot guarantee that our templates will work in all browsers.
Other
Our Squarespace templates are not endorsed by or affiliated with Squarespace.
We reserve the right to share screenshots or videos of your live, public website created with our templates on our website and social media. However, if you would not like us to share your site, please contact us to let us know. We will be happy to remove any images or links to your website.
Template Styling Packages
Requirements
To use our custom Squarespace template personalisation services customers must have:
A Squarespace Account
A Squarespace Business Plan
Squarespace template purchased from Studio Founded
Customers must also provide: copy, imagery, brand, and legal documents (such as their website terms and conditions).
Pre-Booking
You must book your set-up package at least 2 weeks in advance in order to have the best chance of securing your preferred start date. Spaces are limited. Please contact us before purchase so we can an available space for you. Your space is booked when you submit payment in full, or a non refundable deposit, if a payment plan is agreed.
Your website content, including your images, copy, legal documents, branding, and questionnaire, must be sent to us at least 4 working days before your project start date. This allows us to check that no content is missing.
Missing content, or any other reason for failure to start the project on the agreed start date, may incur a fee.
Content
It is the client’s responsibility to ensure they have full ownership or a license to commercially use any content supplied to us. For example, the client must have a web font license for any fonts provided, and ownership or a license to use any images provided. It is the client’s responsibility to ensure that any text is free from plagiarism.
Revisions
Including up to 3 rounds of revisions. Client feedback must be submitted to us in a timely manner. Project delays may incur an additional fee.
Includes:
Your chosen template.
Populating up to 5 pages with your provided images and copy.
Uploading up to 5 products, 5 blog posts, and 5 galleries.
Optimizing up to 50 images.
Integrating logos and brand fonts/colors.
Customized CSS, and if needed, writing of a reasonable amount of custom CSS.
Customised layouts. Please note that while we can alter the layout, we cannot change it so much that it no longer resembles the original template. A suitable level of customization will be decided at our digression. Please contact us before purchase to discuss your customization requirements.
2 rounds of revisions.
An additional 30 days of technical support.
Our Packages Do Not Include:
SEO.
Copywriting.
Imagery.
Site migration.
Installation on Squarespace 7.0 or any other platform.
Writing custom Javascript or jQuery.
Domain fees or connection.
A Squarespace subscription.
Installation of any Third Party plugins or services.
Social media connection.
Please note that setting up Squarespace Scheduling requires an additional fee.
We do not include compliance with any data protection or accessibility laws; if you need to comply with such laws, please seek professional advice.
Dormancy
We are not liable for customer delays. Customers must respond to us, provide content, and answer questionnaires, in a timely manner.
If the customer does not respond to us within 30 days, the project will be put on hold and the customer will be notified. To re-open the project the customer must pay a fee of 200 USD. Re-opening the project is subject to our availability.
Independent Contractor
Studio Founded is an independent contractor, not an employee of the Client. We are solely responsible for all taxes, withholdings, insurance, and any other obligations that may apply to an independent contractor.
Stock Photos & Mockups
License
You may:
• Use the images without crediting us — though we appreciate it when you do! You can tag us in your creations @Studio Founded.
• Use images for personal or business use, online and in print.
• Use the images as many times as you like, personally and professionally — for example, for your business website and social media. For client use, we ask that your client has their own license. They can purchase themselves, or you can purchase a license on their behalf.
• Use the images to create content such as opt-in content or workbooks. The images must be flattened as part of the design and must not be a main component of the product/download.
• Edit the images – add filters, crop, and overlay the image with text.
• Use the stock photos or mockups commercially, for example, to present a product, whether for sale or offered for free, as long as the product does not exceed 500 sales. If sales exceed this amount, please get in touch so we can discuss license options.
You may not:
• Claim the stock photos or mockups as your own. Studio Founded owns the rights to the images, and you agree to use the images in the ways outlined in these terms.
• Sell, loan, transfer, give away, or otherwise allow a third party to use the stock photos or mockups in any way.
• Use the images for clients and customers unless they purchase their own license, or you purchase a license of their behalf.
• Create derivative products from the images and sell them. For example, you cannot use a stock photo to create mugs or prints, even if the image is edited or has a text overlay.
• Use our stock photos or mockups to create derivative or competitive products such as mockups or templates.
• Use the images to promote or sell other stock photography products, services, or resources.
• Use images to create branding or logos to re-sell.
• Use the images to promote illegal activity or pornography.
Design Templates
License
Purchasing a Photoshop or Canva template grants you a non-exclusive, non-transferable, single-seat license. You may not share, sell, or resell this template in any way. You may use the template for yourself and up to 1 client project. If using for additional client projects, please purchase an additional license (1 license = 1 project). You may remove credit or references to Studio Founded.
